선박회사가 화주로부터 위탁받은 화물을 선적, 또는 선적을 목적으로 수탁한 사실과 화물을 지정된 목적지까지 운송하여 이 증권의 소지자에게 증권과 상환으로 운송화물을 인도할 것을 약속한 수령증권이자 유가증권이다. B/L은 반드시 그 사실을 기록해야한다. 그러므로 B/L은 도착지를 기록해야 하고 정확해야한다. 선하증권의 기능 ① 화물 수령증 ( Receipt for Goods ) 선박회사나 그 대리인이 매도인(송하인)으로부터 계약물품을 인수했다는 화물영수의 증거로서 수령증의 기능을 수행한다. ② 화물에 대한 권리증권 ( Document of Title ) 선화증권에 기재된 물품을 대표하는 권리증권으로서 증권의 소유자는 증권면에 기재된 물품을 자유로이 처분할 수 있음. 또 소지인의 법적 권리, 배서양도인의 권리를 함축하므로 물품에 대한 권리, 소유권(Title, ownership, property)이 B/L의 배서 ( Endorsement )나 양도에 의해 타인에게 이전(Convey, transfer)이 가능하다. ③ 운송계약 조건의 증거서류 운송인과 화주사이의 운송조건을 표시한다. 특히 계약서가 작성될 필요가 없는 개품운송계약의 경우 B/L 자체가 운송계약의 증빙역할을 한다. 제15회 일반고시 관세사 이기영
